NO PURCHASE OR PAYMENT OF MONEY IS NECESSARY TO ENTER OR WIN. MAKING A PURCHASE WILL NOT IMPROVE AN ENTRANT’S ODDS OF WINNING. ALL ENTRIES, INCLUDING SIGN-UP ENTRIES, PURCHASE-BASED ENTRIES, AND SOCIAL ACTION ENTRIES, HAVE EQUAL WEIGHT AND ARE SUBJECT TO THE SAME ONE HUNDRED (100) ENTRY LIMIT PER PERSON.

The July 4th Alp-a-thon Sweepstakes (the “Sweepstakes”) is sponsored by ALP Supply Co. LLC, with its principal place of business located at 3692 Grand Ave, Unit 537, Miami, FL 33133 (the “Sponsor”). By entering, each entrant agrees to be bound by these official rules (the “Official Rules”) and by the decisions of Sponsor, which are final and binding in all matters relating to the Sweepstakes.

This Sweepstakes is not sponsored, endorsed, administered by, or associated with Instagram, X, Meta, or any other social media platform on which the Sweepstakes may be advertised or administered (collectively, the “Social Media Platforms”). By entering, entrants release the Social Media Platforms from any and all liability associated with the Sweepstakes. The Sweepstakes is also not sponsored by, endorsed by, administered by, or affiliated with the United States Government or any official federal, state, or local commemorative program. Sponsor does not claim official status, authorization, endorsement, sponsorship, or affiliation in connection with any federal, state, or local commemorative program.

Certain ALP products contain nicotine. Nicotine is an addictive chemical. ALP products are intended only for adult consumers who are at least twenty-one (21) years of age. No purchase, use, or consumption of any ALP product is required to enter or win.

1. Eligibility.

The Sweepstakes is open only to legal residents of the United States and the District of Columbia, excluding New York, Florida, Puerto Rico, U.S. territories and possessions, and any jurisdiction where the Sweepstakes, any entry method, or any prize is prohibited or restricted by law, who are twenty-one (21) years of age or older and of legal age to purchase nicotine products in their state of residence at the time of entry. VOID IN NEW YORK, FLORIDA, PUERTO RICO, U.S. TERRITORIES AND POSSESSIONS, AND WHERE PROHIBITED OR RESTRICTED BY LAW. Sponsor has elected not to offer the Sweepstakes in New York or Florida. Residents of New York and Florida are not eligible to enter or win, and entries submitted by or on behalf of residents of New York or Florida are void.

The Sweepstakes is intended only for adults twenty-one (21) years of age or older who are legally eligible to purchase nicotine products. The Sweepstakes is not intended to encourage non-users, former users, or persons under twenty-one (21) years of age to use nicotine products.

Employees, officers, directors, contractors, and agents of Sponsor, its parent companies, affiliates, subsidiaries, advertising and promotion agencies, sweepstakes administrators, prize suppliers, and each of their respective immediate family members and household members are not eligible to enter or win. “Immediate family members” means spouses, domestic partners, parents, legal guardians, children, siblings, and each of their respective spouses, regardless of where they reside. “Household members” means persons who share the same residence at least three (3) months per year, whether or not related.

Participation in the Sweepstakes constitutes entrant’s full and unconditional agreement to these Official Rules and Sponsor’s decisions. Sponsor reserves the right to verify eligibility, identity, age, address, and lawful ability to receive a prize at any time, including by using third-party age-verification, identity-verification, fraud-prevention, and compliance tools. Sponsor may disqualify any entrant who provides false, incomplete, misleading, or inconsistent information, attempts to interfere with the Sweepstakes, uses multiple identities, accounts, addresses, or devices to circumvent entry limits, or otherwise violates these Official Rules, Sponsor policies, Social Media Platform rules, or applicable law.

Entries generated by script, macro, bot, artificial intelligence automation, mechanical reproduction, sweepstakes-entry service, or any automated or fraudulent means are void. The Sweepstakes is subject to all applicable federal, state, and local laws, rules, and regulations, including laws and regulations applicable to tobacco, nicotine, non-tobacco nicotine products, age-restricted products, consumer promotions, advertising, privacy, and marketing communications.

2. Sweepstakes Period.

The Sweepstakes begins at 12:00:01 a.m. Eastern Time (“ET”) on July 1, 2026 and ends at 11:59:59 p.m. ET on July 7, 2026 (the “Sweepstakes Period”). All eligible entries, regardless of method of entry, will be included in one (1) unified random drawing pool. Sponsor’s computer, Sponsor’s designated sweepstakes systems, and/or the applicable Social Media Platform’s systems will serve as the official timekeeping devices for the Sweepstakes. Entries must be received during the Sweepstakes Period to be eligible.

3. How to Enter.

Eligible entrants may enter the Sweepstakes during the Sweepstakes Period using any of the methods below. A purchase is not required to enter or win. All eligible entries, regardless of method of entry, have equal weight and will be included in one (1) unified random drawing pool.

A. Sign-Up Entry. During the Sweepstakes Period, an eligible entrant may visit https://alppouch.com/pages/alpathon-entry and complete and submit the online sign-up form with all required information, which may include full name, email address, date of birth, state of residence, telephone number, mailing address, optional social media handle, and any information reasonably required for age verification, identity verification, entry tracking, or Sweepstakes administration. Each separate complete and eligible Sign-Up Entry submission counts as one (1) entry. An eligible entrant may submit up to one hundred (100) Sign-Up Entry submissions during the Sweepstakes Period, subject to the total entry limit below. No purchase, payment, product use, social media account, social media action, Rewards program enrollment, account creation, marketing opt-in, or other consideration is required to submit a Sign-Up Entry. Bulk, automated, incomplete, mechanically generated, third-party-submitted, fraudulent, or excess Sign-Up Entries submitted in violation of these Official Rules are void. Sign-Up Entries must be received during the Sweepstakes Period to be eligible and will be deemed received when actually received by Sponsor’s designated sweepstakes system, as determined by Sponsor’s records.

B. Qualifying Purchase Entries. During the Sweepstakes Period, an eligible entrant who makes a lawful purchase on alppouch.com that is accepted and processed by Sponsor during the Sweepstakes Period will receive four (4) entries for each eligible tin purchased, subject to the total entry limit below. For purposes of the Sweepstakes, “eligible tin” means each individual tin of ALP Nicotine Pouches, ALP Drifters Nicotine Pouches, or Caffeine Break Caffeine Pouches sold on Sponsor’s website during the Sweepstakes Period. For clarity, each five-pack contains five (5) eligible tins and therefore generates twenty (20) Qualifying Purchase Entries, subject to the total entry limit below. Limit one hundred (100) total entries per person during the Sweepstakes Period, regardless of the number, value, or frequency of purchases made. Purchases made before or after the Sweepstakes Period, declined transactions, fraudulent orders, orders placed using false or misleading information, and orders that Sponsor determines are unlawful, abusive, or intended to circumvent these Official Rules will not receive entries. Sponsor may disqualify any entrant who uses purchases, returns, cancellations, chargebacks, multiple accounts, multiple email addresses, multiple addresses, or other conduct to manipulate the Sweepstakes or obtain entries in excess of the stated limits. Only product units expressly identified by Sponsor before launch as eligible Sweepstakes products will generate Qualifying Purchase Entries.

C. Social Action Entry. During the Sweepstakes Period, an eligible entrant may receive one (1) entry by completing the social media actions identified in Sponsor’s official July 4th Alp-a-thon Sweepstakes post on Instagram or X from Sponsor’s official account, @alppouch. Required social media actions may include: (i) following @alppouch on the applicable Social Media Platform; (ii) liking the applicable campaign post; and (iii) commenting on the applicable campaign post by tagging two (2) other users. Reposting or sharing is not required to enter and will not increase an entrant’s chances of winning. Hashtags may be used by Sponsor in Sweepstakes-related captions or advertising copy, but entrants are not required to include hashtags to receive a Social Action Entry unless Sponsor revises these Official Rules before launch. Comments and other Social Action Entry content must not make any health, safety, cessation, modified-risk, comparative, or unapproved product claims. Each complete and eligible Social Action Entry counts as one (1) entry. Limit one (1) Social Action Entry per person during the Sweepstakes Period, regardless of the number of likes, comments, tags, accounts, or platforms used.

Sponsor may require the campaign post to be age-gated or targeted only to users twenty-one (21) years of age or older, if supported by the applicable Social Media Platform. Sponsor may void any Social Action Entry that is not visible, cannot be verified, violates Social Media Platform rules, appears to target or depict minors, tags minors, promotes underage use of nicotine products, includes unlawful or offensive content, infringes third-party rights, or is otherwise inconsistent with these Official Rules or Sponsor’s nicotine-product marketing policies. Entrants must not tag any individual known or reasonably believed to be under twenty-one (21) years old. A private social media profile does not automatically disqualify an entrant, provided Sponsor can verify the entry and contact the entrant. Entrants, including entrants with private or restricted social media accounts, are responsible for monitoring all relevant contact methods, including email inboxes, junk/spam folders, direct messages, message requests, “You May Know” message folders, spam message folders, filtered messages, comment replies, and other platform notification folders, from the time of entry through at least July 14, 2026, and, if selected as a potential winner, through completion of winner verification.

For purposes of the Sweepstakes, limit one hundred (100) total entries per person during the Sweepstakes Period, regardless of method of entry. Entries submitted or received through different methods will be combined for purposes of applying the total entry limit. For clarity, an eligible entrant may obtain the maximum one hundred (100) entries through the Sign-Up Entry method without making a purchase. Any entries in excess of the stated limit may be void.

4. Entry Conditions.

Entries must be complete, truthful, and submitted by the entrant only. Incomplete, late, lost, misdirected, illegible, corrupted, inaccessible, duplicate, fraudulent, automated, bulk, mechanically generated, third-party-submitted, or otherwise noncompliant entries are void. Sponsor is not responsible for technical, network, platform, email, website, telephone, computer, hardware, software, server, provider, mail, or human error or failure that may affect entry submission, receipt, processing, verification, or winner notification.

In the event of a dispute as to the identity of an entrant, the entry will be deemed submitted by the authorized account holder of the email address used to enter, as determined by Sponsor in its sole discretion. For Social Action Entries, Sponsor may also require proof that the entrant is the authorized account holder of the social media account used to enter.

By submitting a Social Action Entry or other content in connection with the Sweepstakes, entrant grants Sponsor and its designees a non-exclusive, worldwide, royalty-free, transferable license to use, reproduce, display, publish, repost, edit, and otherwise exploit the entrant’s username, handle, profile name, comment, tag, post, and other submitted content for purposes of administering, advertising, and promoting the Sweepstakes, Sponsor, and Sponsor’s products and services, except where prohibited by law. Entrant represents that the entry and any submitted content are truthful, accurate, and do not violate third-party rights, Social Media Platform rules, or applicable law.

5. Prizes.

The Sweepstakes will award the following prizes:

Grand Prizes. Three (3) Grand Prize winners will each receive Twenty-Five Thousand Dollars ($25,000.00), awarded at the winner’s election as either: (a) Twenty-Five Thousand Dollars ($25,000.00) in ALP Rewards Store credit; or (b) Twenty-Five Thousand Dollars ($25,000.00) in cash, payable by check, ACH transfer, or other payment method determined by Sponsor (each, a “Grand Prize”). A Grand Prize winner must make the cash or Rewards Store credit election in the prize-acceptance documentation provided by Sponsor. Once made, the election is final. If a Grand Prize winner does not timely make an election, Sponsor may award the Grand Prize in cash.

First-Tier Lucky Prizes. Six (6) First-Tier Lucky Prize winners will each receive Two Thousand Five Hundred Dollars ($2,500.00) in ALP Rewards Store credit or other Sponsor-issued promotional credit (each, a “First-Tier Lucky Prize”). First-Tier Lucky Prizes are not redeemable for cash, except where required by law.

Second-Tier Lucky Prizes. Ten (10) Second-Tier Lucky Prize winners will each receive One Thousand Dollars ($1,000.00) in ALP Rewards Store credit or other Sponsor-issued promotional credit (each, a “Second-Tier Lucky Prize”). Second-Tier Lucky Prizes are not redeemable for cash, except where required by law.

Commemorative Plaques. Sponsor may also provide winners with one (1) limited-edition July 4th Alp-a-thon commemorative plaque or similar commemorative item. The commemorative plaque is provided solely as a commemorative item, has no separately stated approximate retail value, is not redeemable for cash, and is not included in the advertised total prize value.

Rewards Store credit and other Sponsor-issued promotional credit may be used only in accordance with Sponsor’s then-current Rewards Store terms, website terms, age-verification procedures, shipping restrictions, product-availability limitations, and applicable law. Unless Sponsor determines, in its sole discretion and before fulfillment, that a different structure is lawful, Rewards Store credit and other Sponsor-issued promotional credit may be redeemed only for non-nicotine merchandise, accessories, or other non-age-restricted items. Rewards Store credit and other Sponsor-issued promotional credit may not be used to obtain free nicotine, tobacco, or non-tobacco nicotine products outside of a lawful age-verified sales transaction requiring monetary payment. Rewards Store credit and other Sponsor-issued promotional credit are not transferable and may not be redeemed for cash, except with respect to the Grand Prize cash election described above or where otherwise required by law.

The total approximate retail value (“ARV”) of all cash and ALP Rewards Store credit prizes is One Hundred Thousand Dollars ($100,000.00). Commemorative plaques or similar commemorative items, if awarded, have no separately stated ARV and are not included in the advertised total prize value. Actual value may vary. Any difference between the stated ARV and the actual value will not be awarded. Limit one (1) prize per person and per household across the entire Sweepstakes.

No substitution, assignment, transfer, or cash redemption of any prize is permitted except at Sponsor’s sole discretion or as otherwise expressly provided in these Official Rules or required by law. Sponsor reserves the right to substitute any prize or prize component with an item of equal or greater value if any prize or prize component becomes unavailable, cannot be awarded, or cannot be awarded in a particular jurisdiction. All prizes are awarded “as is” without warranty of any kind, express or implied.

6. Random Drawing; Odds.

On or about July 14, 2026, Sponsor or its designated administrator will conduct one (1) random drawing from among all eligible entries received during the Sweepstakes Period. Sponsor will randomly select nineteen (19) potential winners as follows: the first three (3) potential winners selected will be potential Grand Prize winners; the next six (6) potential winners selected will be potential First-Tier Lucky Prize winners; and the next ten (10) potential winners selected will be potential Second-Tier Lucky Prize winners. Odds of winning depend on the total number of eligible entries received during the Sweepstakes Period.

7. Winner Notification and Verification.

Potential winners may be notified by email, telephone, direct message, message request, comment, tag, reply, or other method determined by Sponsor using the information provided at entry or otherwise associated with the entrant’s account or entry method. Potential winners must respond within forty-eight (48) hours after the initial notification attempt, or an alternate potential winner may be selected. Entrants are responsible for monitoring all relevant contact methods, including email inboxes, junk/spam folders, telephone messages, direct messages, message requests, “You May Know” message folders, spam message folders, filtered messages, comment replies, tags, and other platform notification folders.

Before being declared a winner and receiving any prize, each potential winner must complete Sponsor’s verification process, which may include providing a valid government-issued photo ID, proof of address, taxpayer identification information, IRS Form W-9, and a completed winner eligibility, liability, publicity, tax, and prize-acceptance release in the form provided by Sponsor, except where prohibited by law. Sponsor may require these materials to be completed electronically. If a potential winner fails to timely complete the required verification materials, is found to be ineligible, declines the prize, or cannot lawfully receive the prize, Sponsor may disqualify that potential winner and select an alternate potential winner from among the remaining eligible entries.

Each potential Grand Prize winner must elect in the prize-acceptance documentation whether to receive the Grand Prize as cash or ALP Rewards Store credit. Once submitted, the election is final. If a potential Grand Prize winner does not timely make an election, Sponsor may award the Grand Prize in cash.

If a potential winner cannot be contacted, fails to respond, fails to complete required documentation, fails age or identity verification, is found to be ineligible, declines the prize, cannot lawfully receive the prize, or otherwise fails to comply with these Official Rules, the potential winner may be disqualified and an alternate potential winner may be selected from among the remaining eligible entries. Sponsor is not responsible for any failure of a potential winner to receive, see, review, or respond to a notification due to spam filters, junk folders, privacy settings, private or restricted account settings, message request settings, “You May Know” message folders, spam message folders, filtered message folders, inactive accounts, platform restrictions, incorrect contact information, or other causes outside Sponsor’s control.

8. Prize Conditions; Taxes; Age-Restricted Products.

All federal, state, and local taxes and all costs and expenses associated with prize acceptance, receipt, and use that are not expressly stated as included are the sole responsibility of the winner. Sponsor may issue an IRS Form 1099 or other tax reporting form for the value of any prize as required by law. Winners should consult their own tax advisors regarding tax consequences of accepting a prize.

Prizes involving Rewards Store credit, promotional credit, merchandise, or any ALP product are subject to Sponsor’s website terms, Rewards Store terms, privacy policy, shipping policies, product availability, age-verification procedures, and all applicable laws and regulations. Sponsor will not ship, distribute, redeem, or award any product or prize component to any jurisdiction or person where doing so would be unlawful or restricted. Rewards Store credit and promotional credit may not be used to obtain free nicotine, tobacco, or non-tobacco nicotine products outside of a lawful age-verified sales transaction requiring monetary payment, unless Sponsor determines, in its sole discretion and before fulfillment, that such redemption structure is lawful. If a winner cannot lawfully receive or redeem a prize component, Sponsor may substitute a lawful prize component of equal or greater value or may require forfeiture if no lawful substitute is reasonably available.

No winner is required to purchase, consume, use, review, endorse, post about, or promote any ALP product as a condition of accepting a prize. Any optional post-win social amplification, including tagging @alppouch or posting about the Sweepstakes, prize, or Sponsor, must be truthful and must clearly and conspicuously disclose the winner’s relationship to Sponsor and the prize, such as by using “I won an ALP sweepstakes,” #ALPSweepstakesWinner, #sweepstakes, or another disclosure approved by Sponsor. Sponsor may provide disclosure instructions but will not require any winner to post as a condition of receiving a prize.

9. Marketing Communications; Privacy.

Consent to receive marketing emails, text messages, or other marketing communications is not required to enter the Sweepstakes and is not a condition of winning. If Sponsor offers entrants the opportunity to opt in to marketing communications, any such opt-in must be separate, optional, and subject to Sponsor’s applicable terms and privacy policy. Entrants may opt out of marketing communications at any time without affecting Sweepstakes eligibility.

If Sponsor offers entrants the opportunity to opt in to SMS/text marketing, such opt-in must be separate, optional, and supported by clear and conspicuous TCPA-compliant consent language. Consent to receive marketing text messages is not required to enter or win and will not increase an entrant’s chances of winning. Message frequency, message and data rate disclosures, HELP/STOP instructions, and any other required SMS terms should be presented at the point of opt-in.

By entering, entrants acknowledge and agree that Sponsor and its service providers may collect, use, process, and disclose personal information submitted in connection with the Sweepstakes for purposes of administering the Sweepstakes, verifying eligibility and age, selecting and notifying winners, fulfilling prizes, complying with legal and tax obligations, preventing fraud, and as otherwise described in Sponsor’s Privacy Policy, available at https://alppouch.com/pages/privacy-policy. Entrants should review Sponsor’s Privacy Policy before entering.

By entering or participating in the Sweepstakes, each entrant agrees to be bound by these Official Rules and Sponsor’s decisions, which are final and binding in all matters relating to the Sweepstakes. To the extent an entrant accesses or uses Sponsor’s website, submits an online entry, creates an account, redeems any prize or Rewards Store credit, or otherwise uses Sponsor’s products, services, or online platform, such access, use, and redemption are also subject to Sponsor’s then-current Terms and Conditions, Terms of Use, Rewards Store terms, and Privacy Policy, as applicable; provided, however, that in the event of any conflict between these Official Rules and any such terms, policies, advertising copy, website copy, social media post, or other Sweepstakes-related materials, these Official Rules will govern solely with respect to the Sweepstakes.

10. Advertising and Abbreviated Disclosures.

All advertising, social media posts, landing pages, emails, SMS messages, point-of-sale materials, influencer communications, and other promotional materials relating to the Sweepstakes must be consistent with these Official Rules. Abbreviated advertising copy should include, at a minimum, the material terms of the Sweepstakes, including eligibility, age requirement, entry period, no-purchase-necessary statement, prize description, odds statement or odds-depend-on-entries statement, geographic restrictions, and a clear link or direction to the full Official Rules.

Sponsor may modify or require removal of any advertising copy, social entry instructions, hashtag instructions, tagging mechanics, or other promotional copy that is inaccurate, misleading, incomplete, inconsistent with these Official Rules, inconsistent with applicable Social Media Platform rules, or inconsistent with laws governing tobacco, nicotine, non-tobacco nicotine, advertising, promotions, privacy, marketing communications, or age-restricted products. Social media captions, comments, posts, and winner-related content should not make health, safety, cessation, modified-risk, comparative, or other product claims unless such claims have been legally reviewed and approved by Sponsor.

11. Publicity.

Except where prohibited by law, by accepting a prize, each winner grants Sponsor and its designees the right to use the winner’s name, username, handle, likeness, voice, biographical information, city and state of residence, prize information, statements, and submitted content for advertising, promotional, trade, public relations, and administrative purposes in any media now known or later developed, worldwide, without additional compensation, notice, review, or approval.

12. Release and Limitation of Liability.

By participating in the Sweepstakes, entrants agree to release, indemnify, and hold harmless Sponsor, the Social Media Platforms, prize suppliers, advertising and promotion agencies, sweepstakes administrators, and each of their respective parent companies, affiliates, subsidiaries, successors, assigns, officers, directors, employees, agents, and representatives (collectively, the “Released Parties”) from and against any and all claims, damages, losses, liabilities, costs, and expenses arising out of or relating to participation in the Sweepstakes; acceptance, receipt, possession, misuse, or use of any prize; any travel or activity related to any prize; any entry, content, or social media activity; any technical, platform, or human error; or any violation of these Official Rules or applicable law.

To the fullest extent permitted by law, Released Parties are not responsible for any lost, late, incomplete, inaccurate, stolen, delayed, misdirected, undelivered, corrupted, inaccessible, or garbled entries; technical, network, website, platform, server, provider, computer, telephone, hardware, software, or transmission failures; unauthorized access; human error; incorrect or inaccurate entry information; printing or typographical errors; or any other error or problem in connection with the Sweepstakes.

13. General Conditions.

Sponsor reserves the right, in its sole discretion, to cancel, suspend, or modify the Sweepstakes or any portion of the Sweepstakes if fraud, technical failures, platform changes, legal restrictions, human error, force majeure, public health conditions, government action, or any other factor impairs or may impair the integrity, fairness, security, legality, or proper functioning of the Sweepstakes, as determined by Sponsor. If the Sweepstakes is canceled or modified, Sponsor may, in its discretion, select winners from among all eligible, non-suspect entries received before the action or as otherwise deemed fair and appropriate by Sponsor.

Sponsor reserves the right to disqualify any individual Sponsor believes has tampered with the entry process or operation of the Sweepstakes, acted in violation of these Official Rules, violated applicable law or platform rules, acted in an unsportsmanlike or disruptive manner, attempted to undermine the legitimate operation of the Sweepstakes, or attempted to annoy, abuse, threaten, or harass any person. Any attempt to deliberately damage any website or undermine the lawful operation of the Sweepstakes may violate criminal and civil laws, and Sponsor reserves the right to seek damages and other remedies to the fullest extent permitted by law.

If any provision of these Official Rules is held to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect. Sponsor’s failure to enforce any term of these Official Rules will not constitute a waiver of that provision.

14. Winner List

To request the names of the winners, send an email to howdy@alppouch.com with the subject line “July 4th Alp-a-thon Sweepstakes Winner List Request.” Requests must be received within sixty (60) days after the end of the Sweepstakes. Winner list requests will be fulfilled after winner verification is complete. Sponsor will comply with any applicable state winner-list filing, publication, record-retention, or certification requirements to the extent required by law.

15. Dispute Resolution; Binding Arbitration; Class Action Waiver.

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Agreement to Arbitrate. To the fullest extent permitted by applicable law, by participating in the Sweepstakes, each entrant agrees that any and all disputes, claims, or causes of action arising out of or relating in any way to the Sweepstakes, these Official Rules, any entry, any prize, or any related transaction or communication (collectively, “Disputes”) shall be resolved exclusively by final and binding arbitration, rather than in court. This arbitration agreement is governed by the Federal Arbitration Act (“FAA”).

Arbitration Procedures. The arbitration shall be administered by the American Arbitration Association (“AAA”) in accordance with its Consumer Arbitration Rules then in effect. The arbitration shall be conducted by a single neutral arbitrator. Unless otherwise required by applicable law, the arbitration shall take place in the State of Delaware or, at the election of the entrant, may be conducted remotely or based solely on written submissions. Judgment on the arbitration award may be entered in any court having jurisdiction.

Class Action Waiver. To the fullest extent permitted by applicable law, all Disputes shall be resolved on an individual basis only and not as part of any class, collective, consolidated, private attorney general, or representative action. Entrants expressly waive any right to bring or participate in any class action, class arbitration, private attorney general action, or other representative proceeding. The arbitrator shall have no authority to hear or arbitrate any class or representative action or to consolidate claims of different individuals.

Limitation of Remedies. To the fullest extent permitted by law, entrants agree that any and all claims shall be limited to actual out-of-pocket costs incurred, if any, and in no event shall entrants be entitled to recover attorneys’ fees, punitive damages, incidental damages, consequential damages, special damages, multiple damages, or any other damages, other than actual out-of-pocket expenses.

Jury Trial Waiver. To the extent any Dispute is determined not to be subject to arbitration, entrant and Sponsor each waive any right to a trial by jury.

Governing Law and Venue. All issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules shall be governed by the laws of the State of Delaware, without regard to conflict-of-law principles. To the extent any Dispute is not subject to arbitration, such Dispute shall be brought exclusively in the state or federal courts located in Delaware, and the parties consent to the personal jurisdiction and venue of such courts.

Opt-Out Right. An entrant may opt out of this arbitration agreement by sending a written notice to Sponsor at ALP Supply Co. LLC, 3692 Grand Ave, Unit 537, Miami, FL 33133, within thirty (30) days after entering the Sweepstakes. The opt-out notice must include the entrant’s full name, mailing address, email address, and a clear statement that the entrant wishes to opt out of arbitration. Opting out will not affect the entrant’s eligibility to participate in the Sweepstakes.

Severability. If any portion of this arbitration provision is found to be unenforceable, the remaining portions shall remain in full force and effect, except that if the class action waiver is found to be unenforceable, the arbitration agreement shall be null and void.
